1. Agreement Overview

These Terms and Conditions (“Agreement”) apply to all services provided by PinkSEO Ltd (“PinkSEO”) to its clients. By engaging with our services, you agree to the following terms. This Agreement is governed by UK law but remains enforceable with clients based internationally.

2. Services Provided

PinkSEO provides monthly SEO services on a retainer basis. Each SEO plan refers to one website only. If a client has multiple websites, they will require a separate SEO plan for each. Any changes to the scope of work must be discussed in advance and agreed in writing.

3. Notice Period and Termination

Clients must provide at least 30 calendar days’ written notice before terminating their SEO plan. Notice must be sent via email to silvia@pinkseo.marketing. The last invoice will be charged on the next billing date and will cover services until the end of the notice period or until the remaining work hours for that month have been completed (whichever occurs first).
Hosting Clients: If your website is hosted with us and you terminate SEO services, you will be required to pay for hosting at the rate of £99/year. If unpaid, hosting will remain active for 14 days to facilitate your transition. After this period, your hosting will be suspended, and your website will become unavailable.
Upon termination, clients are required to transfer ownership of their Google Analytics (GA), Google Search Console (GSC), and Google Business Profile (GBP) accounts. PinkSEO will no longer have access to these accounts after termination.

4. Payment Terms

All invoices are due immediately upon receipt. Invoices cover the upcoming month of services. Payments made on the 6th of September will cover services from 6th September to 6th October.
Autopay Discount: A 5% discount applies when you set up Autopay on Xero.
Late Payments: If an invoice remains unpaid for one month, PinkSEO will suspend all services, including SEO monitoring, reporting, and implementation, until full payment is received. Statutory interest of 8% plus the Bank of England base rate per annum applies to overdue invoices. Debt recovery fees may also apply:
£40 for debts up to £1,000
£70 for debts up to £10,000
£100 for debts over £10,000
If unpaid invoices remain outstanding, PinkSEO reserves the right to pursue legal action to recover debts, including further costs for court fees and legal representation.

5. Hosting and Email Services

Clients hosting with PinkSEO are provided with 10GB of email capacity and unlimited email accounts. If SEO services are terminated but hosting continues, hosting fees of £99/year will apply.

6. Client Responsibilities

Clients are responsible for providing accurate, timely information and ensuring the email they signed up with is kept up to date. Email communication is the primary method of contact, and it is the client’s responsibility to remain reachable.
Delays in feedback or approval from the client may result in missed deadlines or SEO performance issues. PinkSEO is not liable for delays caused by the client.

7. Revisions and Content
Satisfaction

Revisions are provided based on the time remaining in the current billing cycle. Unused hours do not carry over into the next month. Clients can check their remaining hours via their client dashboard or by contacting their account manager.
Revisions due to PinkSEO errors are corrected at no additional cost. However, revisions stemming from incomplete or incorrect client information will be charged at £100/hour + VAT.

8. Use of Client Logos and Data

PinkSEO retains the right to use client logos, website data, and results in case studies and marketing materials, unless the client opts out by requesting an NDA at the start of the project.

9. Third-Party Tools

PinkSEO uses third-party tools, including Google Analytics, Google Search Console, SE Ranking, and AI-based tools like ChatGPT. PinkSEO cannot be held responsible for errors, disruptions, or performance changes resulting from third-party services.

10. Confidentiality and
Data Protection

Both PinkSEO and the client agree to maintain the confidentiality of any sensitive or proprietary information shared during the engagement unless disclosure is required by law. PinkSEO complies with GDPR for UK and EU clients.

11. Conduct and Termination for Breach

PinkSEO reserves the right to terminate the agreement immediately if a client engages in abusive, rude, or inappropriate behaviour toward any team member.
For other breaches of this Agreement, PinkSEO will:
Issue a written warning to the client.
Allow the client an opportunity to resolve the breach.
If unresolved, issue a formal notice of termination, request final payment for work completed, and detail the offboarding process.

12. Limitation of Liability

PinkSEO shall not be liable for any indirect, incidental, or consequential damages resulting from the client’s use of our services or external factors (e.g., third-party service disruptions). PinkSEO’s total liability is limited to the amount paid by the client in the past 12 months.

13. Dispute Resolution

Any disputes arising from this Agreement will first be resolved through good faith negotiations. If unresolved, both parties agree to consider mediation or arbitration before pursuing formal legal action.

14. Intellectual Property Rights

All material created by PinkSEO Ltd during the course of providing SEO services, including but not limited to blog posts, meta descriptions, and other optimised content, shall become the property of the client upon full payment of the relevant invoices.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under this Agreement where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question.

16. Subcontracting

PinkSEO Ltd reserves the right to subcontract any of the services covered by this Agreement. In the event of subcontracting, PinkSEO Ltd shall remain fully responsible for the delivery and quality of services to the client.

17. Indemnification

Each party agrees to indemnify and hold the other party harmless from any claims, losses, damages, liabilities, including attorney’s fees, arising out of the indemnifying party’s negligence or violation of third-party intellectual property rights in relation to the services provided under this Agreement.

18. Amendments to the Agreement

PinkSEO Ltd reserves the right to make changes to these Terms and Conditions from time to time. Clients will be notified of any changes via email. Continued use of PinkSEO Ltd’s services after such notification constitutes acceptance of the amended terms.

19. Warranties and Disclaimers

While PinkSEO Ltd strives to provide high-quality SEO services, we cannot guarantee specific results or rankings. Search engine algorithms are beyond our control, and rankings can fluctuate based on various factors. PinkSEO Ltd does not warrant that the services will meet the client’s requirements or that they will be uninterrupted, timely, secure, or error-free.

20. Non-Solicitation

The client agrees not to solicit for employment or hire any employee of PinkSEO Ltd for a period of 12 months following the termination of this Agreement, without the prior written consent of PinkSEO Ltd.

21. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and discussions between the parties relating to it.

23. Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
